Welcome to www.interstellararc.com (the "Site") and the Interstellar Arc immersive experience ("Experience"). These Terms of Use ("Terms") govern your access to and use of the Site, your purchase of tickets, and your participation in the Experience.

PLEASE READ THESE TERMS CAREFULLY BEFORE ACCESSING THE SITE, PURCHASING TICKETS, OR PARTICIPATING IN THE EXPERIENCE. BY ACCESSING OR USING THE SITE, PURCHASING TICKETS, OR PARTICIPATING IN THE EXPERIENCE, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SITE, PURCHASE TICKETS, OR PARTICIPATE IN THE EXPERIENCE.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Felix & Paul Studios US, Inc. By accessing or using the Site, purchasing tickets for, or attending the Interstellar Arc Experience, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not use the Site or participate in the Experience.

2. Eligibility and Age Restrictions

To use this Site or attend the Experience unaccompanied, you must be at least eighteen (18) years of age. Individuals under the age of eighteen (18) ("Minors") are permitted to use the Site and attend the Experience only under the direct supervision of a parent or legal guardian who is at least eighteen (18) years of age and who agrees to be bound by these Terms on behalf of the Minor. By allowing a Minor to use the Site or participate in the Experience, you, as the parent or legal guardian, represent and warrant that you have the legal authority to bind the Minor to these Terms and you agree to be fully responsible for the Minor's compliance with these Terms.

3. Ticketing, Sales, and Refund Policy

All ticket sales for the Interstellar Arc Experience are final unless otherwise explicitly stated at the time of purchase.

  • No Refunds, Exchanges, or Re-entry: We do not offer refunds, exchanges, or re-entry once a ticket has been purchased and the Experience has begun, or if you miss your scheduled time slot.

  • Punctuality: Guests are required to arrive on time for their scheduled Experience. Late arrivals may not be accommodated, and no refunds or rescheduling will be provided for missed time slots due to lateness.

  • Right to Modify or Cancel: We reserve the right, in our sole discretion, to modify, postpone, or cancel scheduled Experiences, or portions thereof, for any reason, including but not limited to operational necessity, safety concerns, or unforeseen circumstances. In the event of a cancellation by the Company, guests may be offered an alternative date or a refund at our discretion.

  • Third-Party Platforms: Tickets purchased through third-party ticketing platforms are subject to the terms and conditions of those platforms in addition to these Terms. We are not responsible for any issues arising from purchases made via third-party vendors.

4. Code of Conduct and Right of Refusal

Guests must behave responsibly, respectfully, and safely at all times while on the Site and within the Experience premises.

  • Prohibited Behavior: We reserve the right to refuse entry to, or remove without refund, any individual who, in our sole discretion, engages in unsafe, disruptive, unlawful, or inappropriate behavior, including but not limited to:

    • Harassment or intimidation of other guests or staff.

    • Vandalism or damage to property.

    • Consumption of alcohol or illegal substances.

    • Possession of weapons, illegal substances, or dangerous items.

    • Failure to follow staff instructions or safety guidelines.

    • Any behavior that compromises the safety or enjoyment of others.

  • Compliance with Laws: All guests must comply with all applicable local, state, and federal laws and regulations.

5. Assumption of Risk, Release of Liability, and Health Disclaimers

The Interstellar Arc Experience is a multi-sensory, immersive attraction involving virtual reality technology, special effects (including but not limited to strobe lights, fog, loud noises, and sudden movements), physical movement, and dimly lit environments.

  • Assumption of Risk: By purchasing a ticket and/or participating in the Experience, you acknowledge and voluntarily assume all risks, known and unknown, associated with attending and participating in the Experience, including but not limited to risks of physical injury, emotional distress, property damage, or other adverse effects. You understand that these risks cannot be entirely eliminated.

  • Release of Liability: To the fullest extent permitted by applicable law, you hereby release, waive, discharge, and covenant not to sue Felix & Paul Studios US, Inc., its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, and partners (collectively, the "Released Parties") from any and all claims, demands, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your access to the Site or your participation in the Experience, whether caused by the negligence of the Released Parties or otherwise.

  • Health Disclaimers: If you have any medical conditions, including but not limited to epilepsy, seizures, heart conditions, vertigo, claustrophobia, motion sickness, or are pregnant, you are strongly advised to consult with a physician before participating in the Experience. Participation is at your own risk. We are not responsible for any health issues or injuries that may arise from your participation.

6. Intellectual Property Rights

All content on the Site and within the Experience, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, software, designs, trademarks, service marks, trade dress, and other intellectual property (collectively, "Company Content"), is the exclusive property of Felix & Paul Studios US, Inc. or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

  • Restrictions: You may not copy, reproduce, modify, adapt, translate, publish, display, transmit, distribute, sell, license, or exploit any Company Content for any commercial purpose or in any way that violates our intellectual property rights without our express prior written consent.

  • Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Company Content solely for your personal, non-commercial use in accordance with these Terms.

7. User Submissions and Content

If you submit or transmit any reviews, testimonials, comments, suggestions, creative ideas, photographs, videos, or other content ("User Submissions") to us, whether through the Site, social media, or otherwise, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Submissions in any media, format, or platform now known or hereafter developed, for any purpose, without compensation to you.

  • Representations and Warranties: You represent and warrant that you own or control all rights in and to your User Submissions and that our use of your User Submissions will not infringe upon or violate the rights of any third party.

  • No Confidentiality: You acknowledge and agree that your User Submissions are not confidential and that we are not obligated to treat them as confidential.

8. Virtual Photos and Consent

As an integral part of the Interstellar Arc Experience, visitors are provided with the unique opportunity to create "Virtual Photos" by utilizing in-experience camera tools within the virtual reality environment.

  • Explicit Consent: By actively capturing images using these in-experience camera tools, you explicitly and legally agree and consent to the following:

    • Ownership: Felix & Paul Studios US, Inc. is the sole and exclusive owner of all Virtual Photos taken during the Experience, including all associated intellectual property rights therein.

    • Use and Publication: Your voluntary use of the virtual camera constitutes explicit and legal consent to the creation, collection, use, and potential publication of such Virtual Photos by the Company.

    • Unrestricted Rights: You grant us the unrestricted, royalty-free, perpetual, irrevocable, worldwide right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display these Virtual Photos in any format, media, or platform now known or hereafter developed, for any purpose, including but not limited to marketing, promotional materials, documentation, or future experiences. This grant is valid unless a Virtual Photo clearly identifies you and you submit a request for its non-use as detailed below.

  • Account Delivery and Personal Use License: If you create an Interstellar Arc account, we may, at our discretion, deliver your Virtual Photos to you. In such cases, we grant you a non-exclusive, royalty-free, personal-use license to share these Virtual Photos on social media or other non-commercial platforms, provided you do not violate the restrictions outlined below.

  • Restrictions on Your Use of Virtual Photos:

    • You may not sell, license, modify, or exploit the Virtual Photos for any commercial gain.

    • You may not remove or alter any proprietary markings, watermarks, or branding included in the Virtual Photo (e.g., Interstellar Arc branding).

  • Right to Object or Withdraw (for Identifiable Individuals): If a Virtual Photo visibly identifies you and you do not wish for it to be used by the Company beyond your own personal copy, please contact us at privacy@interstellararc.com. We will honor reasonable requests under applicable law to cease future public use of such identifiable Virtual Photos.

  • Children and Parental Consent for Virtual Photos: Guests under eighteen (18) years of age may use virtual cameras only under the direct supervision of a parent or legal guardian. By allowing a Minor to use the virtual camera, the adult consents to this Section 8 and to our ownership and permitted use of any Virtual Photos taken by the Minor, subject to the opt-out provisions upon written request as described above.

9. Disclaimer of Warranties

THE SITE AND THE EXPERIENCE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, FELIX & PAUL STUDIOS US, INC. AND THE RELEASED PARTIES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR THE EXPERIENCE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT ON THE SITE OR WITHIN THE EXPERIENCE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FELIX & PAUL STUDIOS US, INC. OR THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE OR THE EXPERIENCE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE EXPERIENCE, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO FELIX & PAUL STUDIOS US, INC. FOR TICKETS OR SERVICES RELATED TO THE SPECIFIC INCIDENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100.00) IF NO SUCH PAYMENT WAS MADE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless Felix & Paul Studios US, Inc. and the Released Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and costs) arising out of or in connection with:

  • Your access to or use of the Site or participation in the Experience.

  • Your violation of these Terms.

  • Your violation of any rights of a third party, including intellectual property rights.

  • Any User Submissions you provide.

  • Any negligent or willful misconduct by you.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

12. Electronic Communications

By using the Site or communicating with us electronically, you consent to receive communications from us electronically, including emails, text messages, and notices posted on the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

13. Dispute Resolution: Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS.

  • Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Experience, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Las Vegas, Nevada, before one arbitrator. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Judgment on the Award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

  • Class Action Waiver: YOU AND FELIX & PAUL STUDIOS US, INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTYFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Felix & Paul Studios US, Inc. agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

  • Opt-Out Right: You have the right to opt out of this arbitration agreement and class action waiver by sending a written notification of your decision to opt out to privacy@interstellararc.com within thirty (30) days of your first acceptance of these Terms. Your opt-out notice must include your name, address, and a clear statement that you want to opt out of this arbitration agreement.

14. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict-of-law principles. Any dispute, claim, or controversy not subject to the arbitration agreement in Section 13 shall be resolved exclusively in the state or federal courts located in Las Vegas, Nevada. You hereby consent to the exclusive jurisdiction and venue of such courts.

15. Modifications to Terms

We reserve the right, at our sole discretion, to modify or revise these Terms at any time. We will provide notice of such changes by updating the "Effective Date" at the top of these Terms and/or by posting the updated Terms on the Site. Your continued use of the Site or participation in the Experience after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must cease using the Site and participating in the Experience.

16. Severability

If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable by a court of competent jurisdiction, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Felix & Paul Studios US, Inc. concerning your use of the Site and participation in the Experience, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us.

18. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. We may freely assign or transfer these Terms without restriction.

19. Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Felix & Paul Studios US, Inc.
